Terms of service.

1. Subject of the contract

Otto provides services for the automated production of catalog photography and SEO copy, plus publication into shop systems (WooCommerce, Shopify, Magento, Shopware, PrestaShop). The scope of service follows from the selected pack or plan (see /pricing).

2. Target audience

The service is intended exclusively for businesses within the meaning of § 14 BGB / § 1 UGB. Consumer transactions are excluded.

3. Scope and quotas

• Pack S: 100 SKUs, 4 frames per SKU, 48h turnaround
• Pack M: 400 SKUs, 4 frames per SKU, 72h turnaround
• Pack L: 1,000 SKUs, 5 frames per SKU, 5 working days
• Pack XL: 2,500 SKUs, 5 frames per SKU, 7 working days
• Monthly: 250 SKUs/month rolling, cancellable monthly

The first regeneration per SKU is free. Additional regenerations are billed at €0.25 net per image.

4. Payment

Packs are one-off payments via Stripe. Monthly plans are charged monthly in advance. All prices are net, exclusive of statutory VAT. Within the EU, reverse charge applies when a valid VAT ID is provided.

5. Ownership of the output

On full payment of a pack, all usage rights to the generated images and copy transfer to the customer without restriction in time or geography. Otto reserves the right to use aggregated, anonymised metrics for product improvement.

6. Refund

If the first 10 SKUs of a pack, after one regeneration each, do not meet the customer's quality expectations, Otto refunds the full pack price. The decision lies with the customer; no justification required.

7. Liability

Otto accepts unlimited liability for intentional and grossly negligent breaches of duty. For slightly negligent breaches of essential contractual duties, liability is limited to the typical, foreseeable damage. Further liability is excluded.

8. Availability

Otto targets 99% availability on an annual average. Maintenance windows are announced at least 48 hours in advance. SLAs with dedicated availability guarantees are offered only on On-Prem and Agency plans.

9. Termination

Packs expire when the SKU quota is used up. Monthly can be cancelled at the end of any month without justification. Cancellation is valid in text form to hello@otto.photography.

10. Jurisdiction

Austrian law applies to disputes arising from this contract, excluding the UN Convention on Contracts for the International Sale of Goods. Venue is the court with jurisdiction at the provider's registered seat.

11. Severability

Should individual provisions be invalid, the validity of the remaining provisions is not affected. The statutory rule replaces the invalid provision.
